1. Acceptance of Terms
By accessing or using the FulROI platform and services (hereinafter "the Platform" or "the Service"), you agree to be bound by these Terms and Conditions. If you do not agree with any of these terms, do not use the Service. These terms apply to all companies and individuals that contract, access, or use FulROI's services, including prospect capture, AI-powered qualification, quote management, and customer communication services.
2. Service Description
FulROI is a prospect and sales management platform that uses artificial intelligence to: • Attract qualified prospects through campaigns on Google Ads, Meta (Facebook/Instagram), WhatsApp Business, and other digital channels managed by FulROI. • Contact and qualify prospects automatically via conversational AI. • Generate and send personalized quotes on behalf of client companies. • Automatically follow up on quotes until the sale is closed. • Provide a control panel with performance, conversion, and ROI metrics. FulROI operates its own capture channels and acts as a strategic sales partner, not a simple software provider.
3. Registration and Account
To access the Service, the client company must create an account by providing accurate, complete, and up-to-date information. The client is responsible for maintaining the confidentiality of their access credentials and for all activities that occur under their account. FulROI reserves the right to suspend or cancel accounts that provide false information, violate these terms, or engage in fraudulent or illegal activities.
4. Plans and Pricing
FulROI offers monthly subscription plans with prices denominated in Colombian pesos (COP), subject to availability and current terms published at fulroi.com/precios. Prices may vary depending on the selected plan, prospect volume, and additional contracted services. Plans include a 7-day free trial at no cost, followed by an additional discount period equivalent to the second month free for clients who subscribe during the launch period. The exact conditions of the trial and discounts are communicated at the time of contracting. FulROI reserves the right to modify its prices with at least 30 calendar days' prior notice.
5. Billing and Payments
Payment for the service is made monthly through the payment methods enabled on the Platform. The subscription renews automatically at the end of each billing cycle, unless the client cancels it before the renewal date. In case of non-payment, FulROI may suspend access to the Service until payment is regularized. If non-payment persists for more than 15 business days, FulROI may terminate the contract unilaterally. All prices include VAT where applicable, in accordance with Colombian tax law.
6. Cancellation
The client may cancel their subscription at any time from the control panel or by sending a request to help@fulroi.com. Cancellation will be effective at the end of the current billing cycle. No refunds are issued for partial periods of use. FulROI may cancel the Service at any time by notifying the client with at least 30 days' notice, except in cases of serious violation of these terms, in which case cancellation may be immediate.
7. Client Obligations
The client agrees to: • Provide accurate and up-to-date information about their company and the services or products they offer. • Review and approve communication scripts and quotes before implementation. • Use the Platform only for lawful purposes consistent with their business activity. • Not attempt to access restricted areas of the Platform or interfere with its operation. • Notify FulROI of any unauthorized use of their account. • Comply with applicable regulations on data protection, commercial communications, and advertising.
8. Prohibited Uses
It is strictly prohibited to use the Platform to: • Send unsolicited communications (spam) or violate Meta, Google, or WhatsApp Business usage policies. • Promote illegal, fraudulent, discriminatory activities or those contrary to public morals. • Reverse engineer, decompile, or attempt to obtain the source code of the Platform. • Resell, sublicense, or transfer access to the Service to third parties without FulROI's prior authorization. • Attempt to replicate, copy, or create derivative products from the Service.
9. Intellectual Property
All intellectual property rights to the Platform, including software, AI algorithms, design, brand, texts, and other content, are the exclusive property of FulROI or its licensors. Nothing in these terms transfers ownership rights to the Platform to the client. The client retains ownership of their company's data and their prospects' information. FulROI obtains a limited license to process such data for the purpose of providing the Service.
10. Confidentiality
Both parties agree to maintain the confidentiality of reserved information received in the context of the contractual relationship, and not to disclose it to third parties without prior authorization. This obligation extends for a period of 2 years after termination of the contract, unless the information is in the public domain or must be disclosed by legal mandate.
11. Limitation of Liability
FulROI does not guarantee specific sales results, number of prospects, or revenue derived from the use of the Service, as these depend on external factors such as the client's industry, the quality of their products or services, and market conditions. In no event shall FulROI be liable for indirect damages, lost profits, data loss, or any other incidental or consequential damage arising from the use or inability to use the Service, even if advised of the possibility of such damages. FulROI's maximum liability to the client is limited to the amount paid for the Service in the 3 months prior to the event giving rise to the damage.
12. Service Availability
FulROI commits to maintaining Service availability of 99% measured monthly, excluding scheduled maintenance notified at least 24 hours in advance and force majeure events. In the event of unplanned interruptions exceeding 4 continuous hours in a month, the client may request a proportional credit on their next invoice.
13. Modifications to the Service and These Terms
FulROI may modify the Service, its features, or these Terms and Conditions at any time. Material changes will be notified to the client by email or through a notice on the Platform with at least 15 days' notice. Continued use of the Service after notification implies acceptance of the modified terms.
14. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of the Republic of Colombia. Any dispute arising in connection with this agreement shall be resolved in the first instance through direct negotiation between the parties. If no agreement is reached within 30 days, the parties shall submit to the jurisdiction of the ordinary courts of Bogotá, Colombia.
